The terms under which you access and use the WMAX platform and associated services.
These Terms of Service ("Terms") constitute a binding legal agreement between you ("you", "your", or "User") and WMAX Academy Private Limited ("WMAX", "we", "us", or "our"), a company incorporated under the Companies Act 2013 with CIN U85491TN2025PTC176457.
By accessing the website wmax.co.in, registering for an account, or using any feature of the WMAX platform (collectively, the "Services"), you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Risk Disclosure, and Disclaimers. If you do not agree, you must immediately cease using the Services.
To use the Services, you represent and warrant that:
WMAX provides software-based trading intelligence, analytical tools, educational content, research notes, and (where authorised) automated execution infrastructure intended for use across Indian equity and derivatives markets.
Important: The Services constitute information and tools only. Nothing on the WMAX platform constitutes investment advice, a recommendation to buy or sell any security, or a solicitation to engage in any specific trade. You alone are responsible for your investment decisions and their consequences.
WMAX does not hold, manage, or take custody of client capital. Where automated execution is enabled, orders are routed via authenticated broker APIs to your own broker account; funds remain in your custody throughout.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree to notify WMAX immediately of any unauthorised access or security breach. WMAX is not liable for losses arising from your failure to safeguard your credentials.
WMAX reserves the right to suspend, restrict, or terminate accounts that are inactive, inaccurate, fraudulent, or in violation of these Terms or applicable law.
Use of certain Services may require payment of fees. Applicable fees, billing cycles, and refund policies will be disclosed prior to subscription. All fees are exclusive of applicable taxes (including GST) unless stated otherwise. By subscribing, you authorise WMAX to charge the chosen payment method for recurring fees until cancellation. Unless otherwise specified, subscription fees are non-refundable.

All content, code, models, indicators, research, branding, designs, and other materials provided through the Services are the exclusive property of WMAX or its licensors and are protected by Indian and international intellectual property laws. Subject to your compliance with these Terms, WMAX grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your personal, non-commercial purposes.
The Services are provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

To the maximum extent permitted by law, WMAX, its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, trading losses, opportunity cost, business interruption, or loss of data, arising out of or in connection with your use of (or inability to use) the Services, regardless of the cause of action.
In any event, the aggregate liability of WMAX to you for any and all claims arising under or in connection with these Terms shall not exceed the total fees paid by you to WMAX during the six (6) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless WMAX and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the Services; (ii) your breach of these Terms; (iii) your violation of any law or third-party right; or (iv) any trading decision you make based on information obtained through the Services.
You may terminate your account at any time through the dashboard or by emailing support@wmax.co.in. WMAX may terminate or suspend your access immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct that may harm WMAX, other users, or third parties. Upon termination, your right to use the Services ceases, and provisions that by their nature should survive (including Sections 7, 8, 9, 10, and 12) will continue to apply.
These Terms are governed by the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India. The parties shall first attempt to resolve disputes through good-faith negotiation; failing which, disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai.
WMAX reserves the right to modify these Terms at any time. Material changes will be notified to you through the Services or via email at least thirty (30) days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
